1. Agreement to Terms

By accessing or using the services of SimplB (Pty) Ltd (“SimplB”), you agree to be bound by these Terms of Service (“Terms”). These Terms govern your use of our website, products, and services (collectively, the “Services”). SimplB operates in partnership with CAEP Asset Managers, which is regulated in South Africa under applicable financial services laws, and leverages custodial partnerships, including integrations with Theya.

For MultiSig Vault clients, additional terms apply as outlined in Theya’s Terms of Use. By using our MultiSig Vault service, you also agree to abide by Theya’s terms, which govern the technical and operational aspects of the MultiSig implementation.

2. Intellectual Property Rights

All content, design, text, graphics, and other materials on the SimplB website are owned by SimplB or licensed to SimplB and are protected under South African and international copyright laws. Unauthorized reproduction or distribution of these materials is prohibited.

3. User Obligations

When using SimplB’s Services, you agree to:

  • Provide accurate and complete information during account setup and ongoing interactions.
  • Comply with all applicable laws and regulations, including financial and tax obligations in your jurisdiction.
  • Ensure that you are authorized to use the Services for any financial transactions or investments.

4. MultiSig Vault Services

SimplB offers MultiSig Vault services in collaboration with Theya. These services involve a 2-of-3 key structure to enhance Bitcoin security. SimplB holds one key as a non-custodial backup service. Clients are responsible for safeguarding their own private keys and backup documentation. For more information, refer to Theya’s Terms of Use.

5. Limitation of Liability

SimplB and CAEP Asset Managers shall not be held liable for any indirect, consequential, or incidental damages, including loss of Bitcoin due to negligence, misuse, or third-party breaches.

6. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. Disputes arising under these Terms shall be subject to the exclusive jurisdiction of South African courts.
